The individual will be an aspiring, part-qualified or qualified company secretary with at least one year company secretarial experience. Experience within a fast paced global or a highly matrixed multinational company would be advantageous.
As a member of the Global Subsidiary Governance Operations team, you will be supporting the delivery of a high-quality service for Shell’s subsidiaries, covering entity management, corporate governance, compliance processes, board activities, shareholder services and working to understand the corporate reporting and governance standards of the Shell group. This is a truly global team, so the role will mean supporting company secretarial delivery for Shell’s entities across multiple jurisdictions. Prior experience managing company secretarial requirements in diverse jurisdictions is beneficial. Other language skills, in addition to English, are preferred. Examples of language and not limited to are Italian, Russian, German, Spanish, French, and Polish.
What you'll be doing
- Support the Subsidiary Governance Manager or Specialist in the provision of company secretarial services and advice to, and in connection with, subsidiary companies maintained across all jurisdictions Shell has a presence. Including statutory compliance activities, shareholder and board actions; issuing proxies and powers of attorneys; drafting resolutions; advice on governance and company secretarial issues; participation in liquidating, restructuring and other corporate projects and transactions; responsibilities for company secretarial processes, procedures, databases and know-how.
- Manage updates in GEMS, Shell’s entity management tool.
- Keep up to date on latest statutory and regulatory requirements.
- Support ad hoc team and corporate governance projects.

- Liaising with Shell subsidiary Directors on various company boards, as directed by the Subsidiary Governance Manager or Specialist.
- Supporting the Subsidiary Governance Manager or Specialist within the parameters set by the subsidiary boards of the companies for which s/he is responsible and liaising with the internal stakeholders for those subsidiaries, including business, compliance, finance and legal colleagues.
- The role requires communication with external parties such as local registries, Company Auditors, Third Party Law Firms, Third Party Banks and various Other Third-Party Bodies whether as part of a commercial transaction or in compliance with legislative requirements.
Board support
- Administrative support in advance of a Board and/or Shareholder meeting (inc. scheduling, convening, agenda preparation, board paper collation and circulation etc.)
- Attendance at the meeting to i) minute the meeting; and ii) provide governance advice
- Post meeting actions including the preparation of minutes and action logs
- Core company secretarial support
- Incorporation of all forms of legal entity Director/ Officer/ Branch Manager or equivalent appointments and resignations
- Change of registered agent or registered office address
- Change of company name
- Change in accounting reference date
- Issue of Powers of Attorney and/or other Delegations of Authority (inc. Proxies)
- Share Transfers/Capital Changes
- Business/Corporate Approvals
- Change of constitutional documents
- Dissolutions / liquidations
- Other parties when the business acquires or sells companies Statutory Filings
- Other parties when the business acquires or sells companies supporting on KYC requests
- Other parties when the business acquires or sells companies procuring registry extracts with local registries
Compliance
- Appointment of/acting as the Company Secretary
- Preparation and filing of company secretarial return(s)
- Statutory accounts support
- Approval of the annual accounts and appointment/reappointment of the auditor (inc. arranging execution and filing of the accounts)
- Maintenance of statutory books and registers
- Maintenance of corporate data and documents in the entity management tool (GEMS) and designated document management systems
- Company secretarial support on legal transactions
- Acquisitions and/or divestments and/or mergers of entities
- Third party/commercial acquisition and/or divestment of assets
- Entity restructuring or rationalization projects
What you bring
- Aspiring or part-qualified Company Secretary (or equivalent) with a minimum of one year company secretarial experience.
- Native or advanced level English skills is required.
- Other language skills, in addition to English, is preferred.
- Ability to effectively manage relationships with the key stakeholders.
- Adaptable to different cultures and working with diverse and virtual teams.
- Excellent planning and organisation skills, verbal and written skills, attention to detail and have the ability to work in a fast-paced, varied environment.
- Self-motivated and have excellent communication and organisation skills with a strong attention to detail, execution and reliability.

- Experience of documenting processes and developing process manuals, is preferred.
- Experience with automation and leveraging technology in ways of working and process improvement.
- Experience with Sharepoint, Docusign, workflow tools and other similar systems is preferred.
- Some experience in using GEMS or other entity management tools.
Technical Skills
- Some experience with company secretarial practices and procedures.
- Ability to establish and build appropriate, active and informative relationships with relevant stakeholders are in place.
- Some experience with completing corporate filings in many jurisdictions including and not limited to Australia, Singapore, UK, Canada, Malaysia, India, Poland, Italy, Spain, Thailand and other jurisdictions.
- Proficiency in GEMs, Microsoft Word, Power Automate, Power Point, Power BI, SharePoint, Docusign, Diligent Entities, Service Now, and CoPilot
