About the Role
We are looking for a Legal Associate to work on end-to-end transaction documentation for our private credit deals, provide necessary legal support to internal stakeholders involving legacy portfolio assets and other day-to-day matters involving the company. You will run legal diligence on borrowers and underlying real estate assets. This is a high-ownership role in a lean team - you will work directly with the deal team and external counsels and stakeholders, not in a back-office capacity. What You'll Do Transaction documentation
- Draft, review and negotiate term sheets and other pre-transaction agreements in consultation with deal teams
- Conduct and coordinate legal due diligence on borrower entities, promoters, and project assets title review, RERA compliance, encumbrance checks, litigation searches. Support deal structuring and provide appropriate advice for the security package
- Review and negotiate the full secured NCD documentation suite in consultation with external counsels and deal team
- Maintain and improve Strata's precedent templates and standard commercial positions
- Manage execution logistics: coordination with the trustee, issuer teams, stamping (across MH/KA/TN), notarisation, execution and registrations
- Post execution, track covenant compliance, security cover requirements, and condition-subsequent items across the live portfolio
- Support enforcement and recovery actions when required, working with external counsel across legacy and ongoing deals
Portfolio and contract work
- Review and negotiate commercial contracts across the business (vendor agreements, NDAs, fee letters) as needed
