The Company Secretary (Mid Level) will be responsible for ensuring end-to-end statutory and regulatory compliance for the manufacturing entity. The role encompasses corporate governance, MSME compliance, vendor and customer contract management, and active coordination with external auditors. The incumbent will serve as the primary liaison for all compliance-related matters, ensuring timely filings, well-drafted commercial agreements, and a robust internal compliance framework. Key Responsibilities1. Board & Corporate Governance
Organise and manage Board Meetings, AGMs, EGMs, and Committee Meetings including preparation of notices, agendas, and minutes
Advise the Board of Directors on corporate governance matters and statutory obligations under the Companies Act, 2013
Maintain all statutory registers, records, and filings as mandated including registers of members, directors, charges, and contracts
File returns, forms, and documents with the Registrar of Companies (ROC) and MCA portal within prescribed timelines
Maintain and update the Memorandum of Association (MoA) and Articles of Association (AoA) as required2. Regulatory & Statutory Compliance
Ensure compliance with the Companies Act, 2013, FEMA, labour laws, and environmental and safety regulations applicable to manufacturing units
Coordinate with regulatory authorities including MCA, ROC, as and when required
Track changes in statutory and regulatory requirements and proactively update internal processes accordingly
Support corporate social responsibility (CSR) planning, implementation, and statutory reporting
MSME Compliance
Ensure compliance with the MSME Development Act, 2006 including timely filing of MSME Form-1 (half-yearly returns) with MCA
Maintain and update the register of MSME vendors and verify Udyam Registration certificates of all MSME suppliers
Monitor payment timelines to MSME vendors strictly in accordance with the 45-day payment mandate under Section 15 of the MSMED Act4. Customer & Vendor Compliance
Develop, maintain, and periodically review the vendor and customer compliance framework in alignment with company policies and applicable laws
Conduct compliance due diligence on new and existing vendors, including KYC, GST registration verification, and statutory filing status checks5. Customer & Vendor Agreements
Draft, review commercial agreements including Purchase Orders, Supply Agreements, Master Service Agreements (MSAs), Non-Disclosure Agreements (NDAs), and Long-Term Supply Contracts with customers and vendors

Review all contract terms for legal risk, compliance exposure, and alignment with company policy before execution
Facilitate execution of agreements through proper authorisation Board resolutions, Power of Attorney, or delegated authority as applicable
Manage contract amendments, addenda, and termination notices in compliance with agreed terms6. Coordination with External Auditors
Coordinate with statutory auditors during annual and quarterly audit processes by providing timely access to corporate records, board minutes, filings, and compliance documentation
Prepare and submit management responses to audit observations and ensure timely resolution of compliance remarks raised in audit reports
Track and close all audit findings pertaining to secretarial, legal, and regulatory compliance within agreed timelines
Qualifications & EligibilityMandatory
Qualified Company Secretary ACS or FCS from the Institute of Company Secretaries of India (ICSI)
Valid ICSI Membership Number (ACS/FCS) must be provided in the application
Minimum 2 years of post-qualification experience in a Company Secretary or compliance role
Demonstrated experience in MSME compliance, commercial contract drafting, and audit coordinationPreferred
LLB / LLM degree strong advantage for contract and legal compliance responsibilities
Prior experience in a manufacturing, industrial, or engineering company
Working knowledge of MCA21 portal, MSME Form-1 filings, GST, and SEBI compliance
Proficiency in MS Office, contract management tools, and secretarial softwareKey Competencies
In-depth knowledge of Companies Act, 2013, MSMED Act, and commercial contract law
Strong drafting and negotiation skills for customer and vendor agreements
Experience coordinating with statutory, secretarial, and cost auditors
Meticulous attention to detail in compliance tracking and documentation
High level of integrity, confidentiality, and professional ethics
Ability to manage multiple regulatory deadlines and cross-functional stakeholdersProactive and self-driven in identifying and closing compliance gaps
